Terms of Service

1. Who can use Noereli

You must be at least 18 years old and legally able to enter into a contract to use Noereli.

You may use Noereli only where it is lawful for you to do so. The Services are currently provided in English. We may limit or change availability by country, region, language, device or operating system, including where needed to meet local legal or language requirements.

If we reasonably believe that someone using our online Services is under 18, we may suspend the online features associated with that person and delete information under our control as permitted or required by law. Because journal entries may be stored only on a device, we may not be able to remove locally stored information from that device.

2. Your right to use Noereli

Subject to these Terms, Gammahammer gives you a limited, personal, non-exclusive, non-transferable and revocable license to download and use Noereli for your own non-commercial purposes on devices you own or control.

Noereli and its software, design, branding, interfaces, text, graphics and other materials supplied by Gammahammer are owned by Gammahammer or its licensors and are protected by intellectual property laws. These Terms do not transfer ownership of the Services or Gammahammer’s intellectual property to you.

3. Accounts, local storage and encrypted backup

No account is required for local use

You can use Noereli locally without creating a credentialed account. Journal entries stored only on your device are not automatically available on another device. If you delete the app, lose or damage your device or erase its storage, locally stored data may be lost unless you previously exported it or enabled encrypted cloud backup.

Optional encrypted cloud backup

A credentialed account is required only if you choose to enable encrypted cloud backup. Depending on the options available in the app, you may sign in with Apple, sign in with Google or use email credentials.

Cloud backups are end-to-end encrypted. Gammahammer does not have the cryptographic keys needed to decrypt the journal content in your backup. You are responsible for protecting your credentials and recovery key. If you lose the recovery key and cannot otherwise recover access, the encrypted backup may be permanently unrecoverable. Gammahammer cannot reset or recreate the recovery key for you.

Encrypted cloud backup is separate from AI processing. When you choose to use an AI feature, the content needed for that request is sent to our cloud AI provider as explained in Section 5 and our Privacy Policy.

Backup retention and deletion

At launch, an encrypted backup will remain associated with your backup account while the account remains open and the backup service continues to be offered, even if your paid access ends. You can download or delete your data through the options available in Noereli.

We may introduce an inactivity period or another reasonable retention limit in the future. If that would result in deletion of an existing backup, we will give reasonable advance notice and an opportunity to export the data first unless immediate action is required by law, a security concern or circumstances outside our reasonable control. Our Privacy Policy provides additional retention information.

Exports

Data exported from Noereli may no longer be protected by Noereli’s encryption. Anyone who can access the exported file or the location where you save it may be able to read it. You are responsible for choosing a secure export location and protecting exported files.

4. Your journal content

As between you and Gammahammer, you keep ownership of the journal entries, recordings and other content you create or submit through Noereli (“Your Content”).

You give Gammahammer a limited, worldwide, non-exclusive and royalty-free license to host, copy, transmit and process Your Content only as needed to provide the features you choose, protect the Services and comply with law. For example, this permission allows the Services to create an encrypted backup at your request or send relevant content for an AI analysis you request. This license does not transfer ownership of Your Content to Gammahammer.

The license ends when Your Content is deleted from our systems, subject to reasonable technical deletion processes and any limited retention required by law. Gammahammer cannot view or use journal content that remains only on your device or that is stored solely in an end-to-end encrypted backup without being separately submitted to an online feature.

You are responsible for ensuring that you have the right to submit content belonging to another person. Noereli is a private journaling tool, so we do not impose content rules on private thoughts merely because they are difficult or sensitive. You may not, however, use our online infrastructure to violate another person’s rights or applicable law.

5. AI and voice features

Optional AI features

Noereli includes optional AI features such as Entry Analysis and Day Analysis. When you request one of these features, only the journal content and other information needed for that task are sent to our cloud AI provider for processing. If you switch off AI features, Entry Analysis and Day Analysis are unavailable, the related crisis screening does not run and saving an entry does not send its text to the embedding model.

When AI features are enabled, the text of a saved journal entry is sent to an embedding model. The model converts the text into a numerical representation and returns that representation to Noereli. The resulting embedding is stored on your device and may be included in your end-to-end encrypted backup if backup is enabled. Noereli does not keep embeddings in a separate cloud vector database.

When an AI feature generates a response, you are interacting with software, not a human. The AI does not have human judgment or awareness of your circumstances beyond the information processed for the feature you request.

AI-generated analyses, summaries, suggestions and other outputs may be incomplete, inaccurate, inappropriate or based on a misunderstanding of Your Content. Outputs may not be unique to you. Review an AI output carefully before relying on it, especially when making important personal, medical, legal, financial or safety-related decisions.

Voice features

If you use Apple’s voice dictation, Apple handles the dictated audio under Apple’s applicable terms, device settings and privacy practices.

If you use Noereli’s in-app voice transcription feature, the recording is sent to our cloud AI provider only to convert it into text. Gammahammer does not store the audio. Our provider is configured to discard the audio after processing. The transcript is returned to Noereli and is handled like other journal content you choose to save. Review the transcript because automated transcription can misunderstand words or produce errors.

Our Privacy Policy provides more information about the data involved, the providers we use and the choices available to you.

6. Wellness and crisis limitations

Noereli is a journaling and wellness tool. It is not a medical device, medical or mental healthcare service, therapist, healthcare professional or crisis intervention service. Noereli does not diagnose or treat any condition. Information and AI outputs provided through Noereli are for general wellness and self-reflection only. They are not a substitute for advice, diagnosis or treatment from a qualified professional.

When you request Entry Analysis or Day Analysis, a cloud-based automated safety check may look for indications of suicidal intent or self-harm in the content used for that analysis. It does not run when you merely save an entry and it does not run if AI features are switched off.

If the check identifies a possible concern, Noereli may interrupt the usual app experience and display crisis or emergency resources selected using a country or region code available from your device. Those resources may not be available or appropriate for your actual location.

Automated crisis screening can make mistakes. It may miss a crisis or flag content that does not describe one. Gammahammer staff do not monitor journal entries in real time and are not notified when a crisis screen appears. Gammahammer does not contact emergency services, crisis services, family members or anyone else on your behalf.

If you believe that you or someone else may be in immediate danger, contact local emergency services or a qualified crisis service directly. Do not wait for Noereli to display a warning.

7. Subscriptions and free trials

Paid access

Noereli is a paid service. Full access requires an active monthly or yearly subscription or a valid free trial. The plans, prices, billing periods and included features available to you are shown before you confirm a purchase. Prices may include or exclude taxes depending on your location and the marketplace’s rules.

At launch, purchases are offered through Apple’s App Store. We may support Google Play, other app marketplaces or other payment methods later. The marketplace shown at checkout processes your payment and its payment terms also apply.

Automatic renewal

Subscriptions automatically renew for the same billing period unless you cancel before the renewal deadline shown by the app marketplace. The marketplace charges the payment method associated with your marketplace account. Renewal timing and billing are controlled by the marketplace.

You can manage or cancel your subscription through the marketplace account used to purchase it. Deleting Noereli, deleting a Noereli backup account or stopping use of the Services does not automatically cancel a subscription. Unless the marketplace states otherwise, cancellation takes effect at the end of the current paid billing period and you keep paid access until then.

Free trials

We may offer a free trial to eligible users. The exact length, eligibility rules and price that will apply after the trial are displayed before you begin it. Unless you cancel before the deadline displayed by the marketplace, the trial automatically converts to the paid subscription you selected and the marketplace charges the applicable price. Eligibility for an introductory offer is determined by the marketplace and may be limited to one offer per person or subscription group.

Price changes and refunds

Subscription prices may change. Any price change will be handled with the notice or consent required by the marketplace and applicable law. If you do not accept a price change where acceptance is required, your subscription may end at the close of the current billing period.

Payments made through Apple are subject to Apple’s refund process. Gammahammer does not directly issue refunds for purchases processed by Apple unless applicable law requires otherwise. Nothing in this section limits any refund, cancellation or consumer right that cannot lawfully be excluded.

8. When paid access ends

Ending a trial or subscription does not transfer ownership of Your Content to Gammahammer and does not automatically delete it.

After paid access ends, you can open existing journal entries that remain available on your device, or that you can restore from an existing encrypted backup, in read-only mode. You can also export your journal data, delete it, restore a purchase or resubscribe. At launch, journal data can be exported in JSON format. You cannot create or edit entries, request an AI analysis or use other paid features unless you start a new subscription.

Access to locally stored entries depends on the data still being present on your device. Access to an encrypted backup depends on your backup account, credentials, recovery key and the continued availability of the backup service. We may add or change export formats as the Services develop.

9. Acceptable use

You may not misuse the Services or help another person do so. In particular, you may not:

• access or use the Services in violation of applicable law or another person’s rights

• interfere with, disrupt or place an unreasonable burden on the Services or related systems

• attempt to gain unauthorized access to an account, system, API, network or data

• bypass subscription controls, usage limits, safety measures or security protections

• introduce malware, harmful code or automated traffic that interferes with the Services

• reverse engineer, decompile or attempt to extract source code except to the limited extent applicable law expressly permits it

• systematically extract Gammahammer-provided content or outputs to build or train a competing product without our written permission

• resell, rent, sublicense or commercially exploit the Services without our written permission

• misuse an AI, transcription, authentication or other third-party service accessed through Noereli

We may investigate suspected misuse of our online Services. This does not mean that Gammahammer monitors locally stored journals or can decrypt end-to-end encrypted backups.

10. Privacy and third-party services

Our Privacy Policy, available in Noereli and on our website, explains what information Gammahammer collects, why it is processed, when it is shared with service providers, how long it is retained and the choices and rights available to you.

Noereli relies on third-party services for functions such as authentication, cloud infrastructure, encrypted storage, AI processing, voice transcription, payments, analytics, email and support. Some third parties act as our service providers. Others, such as Apple when it processes a purchase or Apple dictation, handle information under their own terms and privacy policies.

Third-party services may occasionally be unavailable or may change. To the extent permitted by law, Gammahammer is not responsible for an independent third party’s services, terms or privacy practices. This does not limit Gammahammer’s responsibility for selecting and managing its own service providers as required by applicable law.

11. Changes to the Services and these Terms

We may update, add, remove or discontinue features as Noereli develops. We will give reasonable notice if a change materially reduces a paid feature during an active billing period unless the change is required sooner for legal, security or technical reasons.

We may also update these Terms. If a change is material, we will give reasonable notice through the app, by email or through another appropriate method before it takes effect. We will request renewed acceptance where required by law. The updated Terms will state their effective date and apply prospectively. If you do not agree to an updated version, stop using the Services and cancel any renewing subscription.

12. Suspension, termination and discontinuation

You may stop using Noereli at any time. You can delete locally stored data through the app and, if you created a backup account, use the available account tools to download or delete associated data. Deleting data or an account does not automatically cancel an App Store subscription.

We may suspend or terminate access to online features if you materially or repeatedly breach these Terms, create a security risk, use the Services unlawfully, fail to pay applicable charges or if suspension is required by law or a third-party platform. Where reasonable, we will notify you and give you an opportunity to address the issue before termination.

We may discontinue the Services. If we discontinue a material paid service, we will give reasonable notice and any remedy required by applicable law or marketplace rules. Where reasonably possible, we will provide an opportunity to export Your Content before online access or an encrypted backup is removed.

Sections that by their nature should continue after termination will survive, including sections concerning ownership, accrued payments, disclaimers, liability, disputes and general legal terms.

13. Service and AI disclaimers

Nothing in these Terms excludes warranties, guarantees or other rights that cannot lawfully be excluded.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Gammahammer does not promise that the Services will always be available, uninterrupted, completely secure or error-free or that data will never be lost. Device failures, software updates, lost credentials, lost recovery keys, third-party outages and events outside our reasonable control may affect access to data or features.

Gammahammer does not guarantee the accuracy, completeness, suitability or usefulness of AI outputs, automated analyses, crisis screening or transcriptions. You remain responsible for deciding how to use an output and for obtaining professional or emergency help when appropriate.

14. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful. This includes liability that cannot be limited under applicable consumer law, liability for fraud or fraudulent misrepresentation, liability for willful misconduct and any other liability that applicable law does not permit us to exclude.

To the maximum extent permitted by law, Gammahammer will not be liable for indirect, incidental, special, consequential or punitive damages or for lost profits, lost revenue, loss of opportunity or loss of data arising from or relating to the Services.

To the maximum extent permitted by law, Gammahammer’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of US$100 or the amount you paid for Noereli during the 12 months before the event giving rise to the claim.

The limitations in this section apply only to the extent permitted in your jurisdiction. Some jurisdictions do not allow particular exclusions or limitations, so some of them may not apply to you.

15. Disputes and governing law

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. This choice does not deprive you of mandatory consumer protections that apply where you live.

Informal resolution

Before starting arbitration or court proceedings, you and Gammahammer agree to make a good-faith effort to resolve the dispute informally for at least 30 days. Send a written description of the issue and the resolution you are seeking to team@gammahammer.co or to the postal address in Section 18. This requirement does not prevent either party from seeking urgent relief where delay could cause serious or irreparable harm.

United States arbitration notice

This subsection applies only if you reside in the United States. Except for the claims described below, you and Gammahammer agree to resolve disputes through binding individual arbitration instead of court. You are giving up the right to have those disputes decided by a judge or jury and the right to participate in a class, collective or representative action.

After the informal-resolution period, either party may require a dispute arising out of or relating to the Services or these Terms to be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The rules are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitration may take place by video, telephone or written submissions. If an in-person hearing is required, it will take place in the county where you live unless you and Gammahammer agree otherwise. Arbitration fees will be allocated under the AAA Consumer Arbitration Rules. Gammahammer will pay any fees it is required to pay under those rules or applicable law.

If AAA cannot or will not administer a particular arbitration consistent with this section, you and Gammahammer will try in good faith to select another nationally recognized arbitration provider. If you cannot agree, a court with jurisdiction may appoint the provider or arbitrator.

The following may be brought in court instead of arbitration:

• an individual claim within the jurisdiction of a small claims court

• a request for urgent temporary or preliminary relief needed to protect a party’s rights while arbitration is pending

• a claim concerning infringement or misuse of intellectual property, unauthorized access or serious interference with the Services

• a request for public injunctive relief that applicable law does not allow to be arbitrated

Claims must be brought only on an individual basis. The arbitrator may award relief only to the individual party seeking it and only to the extent needed to resolve that party’s individual claim. You and Gammahammer waive any right to bring or participate in a class, collective or representative action or arbitration. If multiple substantially similar demands are filed, the AAA rules applicable to coordinated or mass filings will apply.

If the class-action waiver is found unenforceable for a particular claim or form of relief, that claim or relief must be decided by a court with lawful jurisdiction after any arbitrable issues have been resolved. The rest of this arbitration agreement will continue to apply.

Thirty-day right to opt out

You may opt out of arbitration by emailing team@gammahammer.co within 30 days after you first accept these Terms. Use the subject line “Arbitration Opt-Out” and include your name, an email address where we can confirm receipt and a clear statement that you are opting out of the arbitration agreement in the Noereli Terms of Service. You do not need a Noereli backup account to opt out. Opting out will not affect your ability to use Noereli.

If you validly opt out or if this arbitration agreement does not apply, either party may bring a claim in a court with lawful jurisdiction, subject to mandatory consumer rights and venue rules.

Users outside the United States

If you reside outside the United States, the mandatory arbitration agreement and class-action waiver above do not apply to you. A dispute may be brought in a court that has jurisdiction under applicable law, including courts available to you under mandatory consumer law.

16. Consumer rights and international use

You may have consumer rights that vary by country, state, province or territory. Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

This includes applicable rights under the Australian Consumer Law, New Zealand’s Consumer Guarantees Act 1993 and Fair Trading Act 1986, Canadian federal or provincial consumer law and other mandatory laws that apply where you live. You may also contact a consumer-protection, privacy or other regulator. These Terms do not prevent you from doing so.

17. Additional terms for Apple App Store users

If you download or use Noereli through Apple’s App Store, the following terms apply in addition to the rest of these Terms:

1. Agreement with Gammahammer. These Terms are between you and Gammahammer, not Apple. Gammahammer, not Apple, is solely responsible for Noereli and its content. These Terms do not replace or conflict with the applicable usage rules in the Apple Media Services Terms and Conditions.

2. Scope of license. Your license to use Noereli is non-transferable and limited to Apple-branded products that you own or control as permitted by the usage rules in the Apple Media Services Terms and Conditions. The app may also be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing where Apple permits this.

3. Maintenance and support. Gammahammer is responsible for providing maintenance and support for Noereli as stated in these Terms or required by applicable law. Apple has no obligation to provide maintenance or support for Noereli.

4. Warranties. Gammahammer is responsible for any product warranty that applies and has not been validly disclaimed. If Noereli fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation for Noereli. Gammahammer is responsible for other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to an applicable warranty.

5. Product claims. Gammahammer, not Apple, is responsible for addressing claims relating to Noereli or your possession or use of it, including product-liability claims, claims that Noereli fails to meet legal or regulatory requirements and claims under consumer-protection, privacy or similar laws.

6. Intellectual property claims. If a third party claims that Noereli or your possession and use of it infringes that party’s intellectual property rights, Gammahammer, not Apple, is responsible for investigating, defending, settling and discharging the claim.

7. Legal compliance. You represent and warrant that you are not located in a country subject to a United States government embargo or designated by the United States government as a “terrorist supporting” country and that you are not listed on a United States government list of prohibited or restricted parties.

8. Developer contact. Questions, complaints or claims concerning Noereli should be directed to Gammahammer using the contact information in Section 18.

9. Third-party terms. You must comply with applicable third-party terms when using Noereli, including applicable wireless data-service terms.

10. Apple as beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

18. General terms and contact information

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. An unenforceable provision will be enforced to the maximum extent permitted by law, except where Section 15 provides a more specific result.

If Gammahammer does not immediately enforce a provision, that does not waive our right to enforce it later. You may not assign or transfer your rights or obligations under these Terms without our written permission. Gammahammer may assign these Terms as part of a merger, acquisition, corporate reorganization or sale of the business or relevant assets, subject to applicable law.

If you voluntarily send us a product suggestion or other feedback, you allow Gammahammer to use it without restriction or compensation. This does not apply to journal entries or other content submitted for the purpose of using Noereli.

These Terms and any additional purchase terms presented to you form the agreement governing your use of the Services. Our Privacy Policy separately explains our information practices. Section headings are for convenience and do not affect interpretation.
